Silvergate CEO to depart amid ongoing liquidation and investor suits

Silvergate is losing its CEO Alan Lane and two other top executives as part of an ongoing wind-down of the once crypto-friendly bank.

Silvergate CEO Alan Lane and two other key executives are set to depart from their positions amid a wind-down of the once crypto-friendly bank.

Lane and the firm’s chief legal officer John Bonino will depart on Aug. 15, while Antonio Martino, chief financial officer of the company, will depart on Sept. 30.

In an Aug. 15 filing to the Securities and Exchange Commission, the bank’s parent company Silvergate Capital said the departures are part of its previously disclosed plan to wind down operations and voluntarily liquidate Silvergate Bank.

Silvergate noted the three departing executives will not be entitled to any further compensation under their respective employment agreements but will receive severance benefits.

The departures come amid a wave of proposed lawsuits involving the bank.

Silvergate and Lane are named in multiple proposed lawsuits mostly revolving around its alleged role in the misconduct of crypto exchange FTX.

In May, the Texas-based Word of God Church also sued the bank alleging it used $25 million of church deposits to participate in FTX’s “fraudulent” scheme, adding Silvergate and Lane had "unparalleled knowledge of the rampant fraud and corporate malfeasance."

Another proposed class action alleged the bank did not perform adequate due diligence on the crypto firms it brought on as clients, such as FTX, Alameda and North Dimension.

Other customers, according to the suit, include Binance.US, Huobi Global, Nexo Capital, and Bittrex.

In March, Silvergate announced it would be winding down its bank’s operations after suffering $1 billion worth of losses as a consequence of the FTX’s demise, one of Silvergate’s leading clients.

The bank’s collapse sent reverberations through the crypto ecosystem and the United States banking sector as it was one of the few regulated financial institutions providing banking services to crypto firms and exchanges.

Lane’s role will be taken over by Kathleen Fraher, the chief transition officer of the company, while Martinos’ role will be helmed by the current chief accounting officer of the bank, Andrew Surry.

SBF and FTX fraud ‘aided and abetted’ by Silvergate Bank, alleges lawsuit

The filing is the latest proposed class action in a string of lawsuits aimed at Silvergate over the last two months about its links with Sam Bankman-Fried and defunct crypto exchange FTX.

Silvergate Bank and its CEO Alan Lane have been accused of “aiding and abetting” a “multibillion-dollar fraudulent scheme orchestrated by Sam Bankman-Fried (SBF)” and two of his entities, FTX and Alameda Research, in a newly proposed class action lawsuit.

The proposed class-action lawsuit was filed in the United States District Court of the Northern District of California on Feb. 14 by lawyers representing a San Francisco-based FTX user who — just like all other FTX customers — was frozen out of around $20,000 in crypto when the exchange collapsed last year.

Plaintiff Soham Bhatia alleges that Silvergate Bank, its parent company Silvergate Capital Corporation and CEO Alan Lane were aware of the use of FTX customer funds by Alameda Research and has accused them of concealing “the true nature of FTX” from its customers.

“At all relevant times, Silvergate, Bankman-Fried and Lane were each co-conspirators of the other,” according to the lawsuit, adding:

Silvergate and Lane aided and abetted, encouraged and substantially assisted Bankman-Fried in jointly perpetrating a fraudulent scheme upon Plaintiff and the class.

“By aiding, abetting, encouraging and substantially assisting the wrongful acts, omissions and other misconduct alleged above, Defendants acted with an awareness of their wrongdoing and realized that their conduct would substantially aid the accomplishment of their illegal design.”

The suit seeks a combination of damages, restitution and disgorgement of profits with the amount to be determined in trial.

However, the lawsuit is yet to be certified by the district court, which is a necessary step before it can proceed as a class action.

The latest proposed lawsuit is just another class-action complaint filed against Silvergate over the last two months.

On Dec. 14, plaintiff Joewy Gonzalez filed a similar class-action suit in the California Southern District Court — accusing Silvergate of its alleged role in “furthering FTX’s investment fraud” by aiding and abetting the crypto exchange when it placed FTX user deposits into the bank accounts of Alameda.

On Jan. 10, a class-action suit was filed against Silvergate Capital Corporation in the United States District Court of Southern California alleging that Silvergate’s platform failed to detect occurrences of money laundering “in amounts exceeding $425 million” involving South American money launderers.

On Feb. 6, algorithmic trading firm Statistica Capital filed a putative class-action lawsuit against Signature Bank alleging it had “actual knowledge of and substantially facilitated the now-infamous FTX fraud.”

“In particular, Signature knew of and permitted the commingling of FTX customer funds within its proprietary, blockchain-based payments network, Signet,” it wrote.

Cointelegraph has reached out to Silvergate for comment but did not receive a response at the time of publication.

Silvergate CEO calls out ‘short sellers’ spreading misinformation

Silvergate Capital CEO Alan Lane has slammed “short sellers” and “other opportunists” for spreading misinformation over the last few weeks — just to score themselves a quick buck. 

In a Dec. 5 public letter, Lane said there was “plenty of speculation – and misinformation” being spread by these parties to “capitalize on market uncertainty” caused in part to FTX’s catastrophic collapse in November.

His crypto-focused bank was recently forced to deny one of these so-called FUD (fear, uncertainty and doubt) campaigns last week when there was speculation that the firm was exposed to the bankrupt crypto lender BlockFi.

Lane also used the latest letter to the public as an “opportunity to set the record straight” about its investment relationship with FTX, as well as the company’s “robust risk management approach.”

Lane reiterated that the firm complies with the Bank Secrecy Act and the USA PATRIOT Act, which requires it to monitor and scrutinize “each and every account,” including FTX and Alameda research.

“Silvergate conducted significant due diligence on FTX and its related entities including Alameda Research, both during the onboarding process and through ongoing monitoring,” the CEO explained.

The CEO has also touted the firm’s “resilient balance sheet and ample liquidity” adding that customers’ deposits are “safely held.”

“In addition to the cash we carry on our balance sheet, our entire investment securities portfolio can be pledged for borrowings at the Federal Home Loan Bank, other financial institutions, and the Federal Reserve Discount Window – and can ultimately be sold should we need to generate liquidity to satisfy customer withdrawal request,” explained Lane.

Silvergate has also been the focus of other speculation in recent weeks, including CFA-issued accountant and former portfolio manager Genevieve Roch-Decter, who expressed doubt in a Dec. 1 post whether Silvergate could maintain its liquidity position and pondered whether it could suffer from its close relationship with FTX.

Roch-Decter was also concerned with Silvergate’s Bitcoin-collateralized loan position, which could impact the firm’s balance sheet if Bitcoin’s (BTC) price continues to fall.

She also expressed worry that should the firm’s Silvergate Exchange Network — a network used by highly used crypto exchanges to send U.S. dollars and Euros between accounts — was compromised, it could “drag down the entire system.”

Lane confirmed in the statement that Silvergate “customers continue to have access to their U.S. dollar deposits when they need them and that Silvergate Exchange Network (SEN) has continued to operate uninterrupted throughout this period.”

“We intentionally carry cash and securities in excess of our digital asset-related deposit liabilities,” the CEO added.

Lane’s public letter did little to stem the bleeding of Silvergate’s (SI) share price, which fell 8.49% to $24.24 on the New York Stock Exchange (NYSE) on Monday, according to MarketWatch.

Silvergate’s stock is now down 52.43% over the last thirty days and decreased 85.34% over the last 12 months.
