Grayscale files to convert multi-crypto fund into ETF

Grayscale asked the SEC for permission to convert its $524 million fund tracking multiple cryptocurrencies — including Bitcoin, Ether and Solana — into an ETF.

Crypto asset manager Grayscale has filed with the United States Securities and Exchange Commission to convert its $520 million fund that tracks multiple cryptocurrencies into an exchange-traded fund (ETF).

The New York Stock Exchange (NYSE), on Grayscale’s behalf, requested the conversion in an Oct. 14 19b-4 filing — a form that asks the SEC to alter rules to allow the listing of a new ETF. 

Grayscale’s Digital Large Cap Fund manages just over $524 million in assets and is weighted with a 76% allocation to Bitcoin (BTC), followed by 18% to Ether (ETH), and the remainder is split between Solana (SOL), XRP (XRP), and Avalanche (AVAX).

SEC reportedly wont appeal court decision on Grayscale Bitcoin ETF

If true, the SEC will need to review and make a decision on Grayscale's spot Bitcoin ETF application. If denied, Grayscale could appeal the decision.

The U.S. Securities and Exchange Commission reportedly has no plans to appeal the recent court decision that favored Grayscale Investments. The ruling requires the SEC to review the firm’s spot Bitcoin (BTC) exchange-traded fund application.

The SEC’s supposed decision not to appeal the D.C. Circuit Court of Appeal’s ruling was highlighted in an Oct. 13 report from Reuters, which cited “a source familiar with the matter.”

Bloomberg analysts also expect the SEC not to appeal to the Supreme Court but emphasized that this doesn’t necessarily mean Grayscale’s application is set to be approved.

If the reports are true, the SEC will need to follow the court’s August order and review Grayscale’s application to change its Grayscale Bitcoin Trust (GBTC) into a spot Bitcoin ETF.

According to Reuters, the appeals court is expected to issue a mandate specifically outlining how its ruling should be “executed” by the SEC.

Commenting on the developments, Bloomberg ETF analyst James Seyffart noted via X that:

“I do not think they will appeal to the Supreme Court either. Dialogue between Grayscale and SEC should begin next week. Hoping for more info on next steps sometime next week or week after?”

Moving forward, Seyffart suggested that it is likely that “we will find out in the next week (or two)” what the deadline is for the SEC to approve or deny Grayscale’s spot BTC ETF application.

If the SEC were to deny the application, Grayscale could then appeal that decision, dragging the process out even longer.

As it stands, around seven spot Bitcoin ETF applications have been put before the SEC that are awaiting a decision from the regulator.

In a separate preceding X post on Oct. 13, Seyffart reiterated his view that there is a 90% chance that a spot Bitcoin ETF application will get approved in January 2024, specifically the application from Cathie Wood’s ARK Invest.

Seyffart and Bloomberg’s senior ETF analyst Eric Balchunas, also previously suggested that there is a 75% chance that an application will get approved in 2023.

Grayscale expands ETF business, puts forward 3 new crypto funds

The new funds would invest in a wide range of different crypto-related assets including Bitcoin miners and privacy tech.

Three new crypto-focused exchange-traded funds (ETFs) have been put forward for approval by cryptocurrency asset manager Grayscale Investments, which also announced a new entity to manage its growing funds.

On May 9, Grayscale said it launched a new arm of its business — the Grayscale Funds Trust — allowing it to manage many of its publicly traded financial products in-house.

In addition to the new trust, Grayscale revealed it filed a registration statement with the United States Securities and Exchange Commission (SEC) for three new crypto-focused ETFs, despite previous roadblocks from the regulator over crypto-related ETFs.

The new funds comprise an Ethereum Futures ETF, a Global Bitcoin Composite ETF along with a Privacy ETF.

The Global Bitcoin Composite ETF would invest in exchange-traded products that are related to or backed by Bitcoin (BTC), including Bitcoin mining firms.

Similarly, the Ethereum futures ETF would allow an indirect exposure to the potential future value of Ether (ETH) by way of shares that track ETH’s price.

The Grayscale Privacy ETF would invest in companies working on blockchain-based privacy technology, the filing explains.

Until the registration statement relating to Grayscale Funds Trust is approved by the SEC, none of the three ETFs will be available for public purchase.

The announcement comes as Grayscale is still entangled in an ongoing conflict with the SEC over converting its $17 billion Grayscale Bitcoin Trust (GBTC) into a spot Bitcoin ETF product.

On Jan. 13 Grayscale sued the regulator for denying its application, arguing the SEC acted indiscriminately in treating crypto spot traded exchange-traded products differently from futures products.

“There is a 99.9% correlation between prices in the Bitcoin futures market and the spot Bitcoin market,” Grayscale stated in its brief against the SEC.

While the SEC has approved a number of Bitcoin Futures ETFs — which expose buyers to the potential future value of BTC — it has so far rejected every application for a spot Bitcoin investment product, citing concerns about exposing investors to potential fraud and market manipulation.
